1. Who We Are and What These Terms Cover

These Terms of Service (“Terms”) form an agreement between you and Authorlytics LLC (“Authorlytics,” “we,” “us,” or “our”), a Minnesota limited liability company, regarding your access to and use of our websites, accounts, applications, and related services (collectively, the “Services”).

The Services include S.A.M, a writing and manuscript-management application; RoyalTree, an author-finance and royalty-management application; BookEnd, a publishing and launch-management application; and Editionary, our planned cover-design application, once released. Not every Service or feature is currently available. Product pages, order screens, and supplemental terms may identify which features you are purchasing or using.

By creating an account, clicking to accept these Terms, or using the Services, you agree to them. If you do not agree, do not use the Services. If you use the Services for an organization, you represent that you have authority to bind that organization.

2. Eligibility and Accounts

You must be at least 13 years old to create an Authorlytics account or use the Services. If the law where you live sets a higher minimum age to consent to the processing of your personal information (for example, 16 in some countries of the European Union), you must be at least that age. You must be at least 18 years old to participate in our current beta programs. You must provide accurate account information, protect your credentials, and promptly notify us of suspected unauthorized use.

Authorlytics may provide a shared account identity across its products. One login may allow you to access multiple Services, but purchasing or receiving access to one product does not automatically grant access to every other product. Access depends on your subscriptions, licenses, invitations, or other entitlements.

You add each Service to your account separately, by signing up for it or adding it, and each Service has a free tier. A Service you have never added has no access to your account. Your shared profile, authentication information, and relevant entitlements are used across the Services you have added. Book information that more than one Service uses (such as titles, editions, ISBNs, and retailer listings) is stored in your shared account and is available in each Service you add, without a separate linking step. Your other private project content is accessible to other products, collaborators, or users only through the permissions and integrations we actually provide.

3. Your Content and Intellectual Property

You retain ownership of the manuscripts, stories, artwork, notes, financial records, metadata, designs, and other content you create, upload, or submit to the Services (“Your Content”), subject to any rights held by third parties. Authorlytics does not acquire ownership of Your Content merely because you use the Services.

You grant Authorlytics a limited, nonexclusive license to host, store, copy, transmit, format, display, process, and back up Your Content only as reasonably necessary to operate the features you select, maintain security, provide support when authorized, and comply with law. This license ends when the relevant content is deleted, subject to lawful retention and backup periods described in our Privacy Policy.

You represent that you have the rights necessary to upload and use Your Content, including images, fonts, artwork, and other third-party assets. You are responsible for ensuring that your publishing, commercial use, and distribution comply with applicable licenses and law.

Authorlytics does not use Your Content to train generative AI models and does not sell or provide private creative work to AI companies for model training.

4. Collaboration, Sharing, and Publishing

Some Services may allow you to invite coauthors, beta readers, editors, designers, or other collaborators; share projects; or export files to third-party publishing platforms. These capabilities apply only where they are actually offered.

When you choose to share content, the people you authorize may be able to view, comment on, edit, download, or retain copies of that content according to the permissions and functionality you select. You are responsible for deciding whom to invite and for securing appropriate agreements with collaborators. Removing access may not retrieve copies already downloaded or exported.

Authorlytics is a software provider, not your publisher, literary agent, legal advisor, tax preparer, accountant, or distributor. Unless a specific product feature expressly states otherwise, you remain responsible for submissions, publishing decisions, ISBNs, metadata accuracy, retailer accounts, tax filings, and compliance with printer and distributor requirements.

5. Product-Specific Considerations

5.1 S.A.M

S.A.M supports writing and manuscript organization and may include offline storage, imports, exports, version history, and other tools as described in the current product interface. You should keep independent copies of important work. Browser-stored offline copies may remain on your device after account deletion; see the Privacy Policy for details.

Features under development, including collaboration and beta-reading capabilities, are not promised until released.

5.2 RoyalTree

RoyalTree may allow you to enter or import royalty, revenue, expense, and related financial information. Figures, calculations, dashboards, and projections are informational tools, not accounting, tax, legal, or investment advice. You are responsible for checking source records and outputs before relying on them.

5.3 BookEnd

BookEnd is intended to help users organize publishing metadata, editions, schedules, checklists, deadlines, and launch activities. It does not guarantee that a book will be accepted by a retailer, printed correctly, published on time, or achieve sales results.

5.4 Editionary

Editionary, our planned cover-design product, is intended to help users assemble, format, and export book-cover designs using their own or appropriately licensed assets, with possible future templates or licensed asset-library features. Users remain responsible for rights to uploaded assets, including artwork, photographs, and fonts.

Any print specifications, dimensions, resolution checks, or export validations are aids and do not guarantee acceptance by every printer or distributor. You must review final proofs and the current requirements of your chosen providers.

6. Acceptable Use

You agree not to: use the Services unlawfully; infringe intellectual property, privacy, or other rights; upload malicious code; attempt to access another person’s account or private content; bypass access controls or subscription restrictions; interfere with security or availability; scrape or harvest nonpublic information; or use the Services to distribute unlawful, deceptive, or abusive material.

We may investigate credible reports of misuse and take proportionate action, including removing access, suspending accounts, or responding to lawful requests.

7. Fees, Subscriptions, Trials, and Billing

Some Services may be free, in beta, or available through paid subscriptions or other plans. Applicable pricing, billing interval, included features, and any trial terms will be shown before purchase. Access to one product does not necessarily include another.

If you purchase a recurring subscription, you authorize the designated payment processor to charge the disclosed recurring price and applicable taxes until cancellation, subject to the terms shown at checkout. Payment details may be handled by Stripe or another disclosed provider.

You may cancel future renewal through the Cancel Subscription button located in My Account. Cancellation generally ends future billing, while access continues until 30 days from account termination, or as read-only within the guidelines of our Free Tier. Refunds, if any, are governed by a case-by-case basis where you may reach out to support@authorlytics.app, without limiting nonwaivable statutory rights. We will provide any legally required notices about price changes, renewals, and trial conversions.

Pass the Pen Program. Authorlytics may offer Pass the Pen, a program through which users may purchase one-time sponsorships that add credit to a shared pool for sponsored access to the Services. Sponsorships and sponsored access are governed by the separate Pass the Pen Program Terms at authorlytics.app/sponsorship-terms, which are incorporated into these Terms by reference. Sponsors and applicants must accept the Program Terms at checkout or when applying, as applicable.

8. Beta and Pre-Release Services

Beta features may be incomplete, changed, interrupted, or withdrawn. We may invite participants to provide feedback and report issues. Beta participation may be subject to separate confidentiality or nondisclosure terms that you explicitly accept.

Unless otherwise agreed in writing, you may share feedback and suggestions with Authorlytics, and we may use them to improve the Services without an obligation to compensate you. This does not transfer ownership of your manuscripts, artwork, or other original creative content.

A separate beta NDA, if accepted, continues to apply according to its terms. These Terms do not silently create an NDA for users who have not accepted one.

9. Availability, Changes, and Third-Party Services

We may update, improve, discontinue, or temporarily interrupt features for maintenance, security, legal, or operational reasons. We will provide notice where required by law or where reasonably practical for material changes.

The Services may depend on providers such as Supabase (database, sign-in, file storage, edge functions, scheduled jobs), Render (static site hosting), Postmark (email), Google (optional sign-in), GitHub (CI and the encrypted pre-release backups, kept 90 days from production), Backblaze (encrypted nightly off-site backups of the database and uploaded files, kept 90 days), Healthchecks.io (backup monitoring), Cloudflare (domain name services), the European Central Bank (exchange rates, RoyalTree only), Stripe (payment processing), or external publishing and file services. Third-party products and websites may have their own terms and privacy policies. Authorlytics is not responsible for the independent services of third parties to the extent permitted by law.

Your account and the content you create are stored and processed in the United States, by our database and storage provider (Supabase) and in our encrypted off-site backups (Backblaze B2, run from Render). The websites’ public files, which contain no personal information, are delivered through a content delivery network that may serve them from locations worldwide.

We may introduce new products under the Authorlytics umbrella. Materially different activities, such as a public asset marketplace or new data sharing, may require supplemental terms and updated privacy disclosures.

10. Data, Privacy, and Security

Our Privacy Policy explains how we collect, use, store, share, and retain personal information, including information associated with a shared Authorlytics account. It also explains the technical and practical limits of protecting content.

Our use of a shared Supabase environment does not mean every user, collaborator, or product should have access to all information stored there. Access depends on applicable account and product permissions.

No online service can guarantee uninterrupted operation or absolute security. You should maintain independent copies of important content and use appropriate security measures for your devices and accounts.

11. Cancellation, Account Closure, and Deletion

Canceling a paid plan, removing access to one product, and deleting your entire Authorlytics account are different actions. Canceling a subscription does not necessarily delete the associated content, and deleting a single product’s data should not automatically delete content belonging to another product.

You may request deletion through My Account within any of Authorlytics’ apps. S.A.M’s current deletion workflow includes a 30-day pending-deletion period with an opportunity to cancel the request. Manual requests can be made to support@authorlytics.app.

We may retain limited records when required or permitted for billing, tax, fraud prevention, contractual obligations, dispute resolution, and legal compliance. Deletion from active systems and backup expiry may occur on different schedules as described in the Privacy Policy.

12. Suspension and Termination

We may suspend or terminate access for material violations of these Terms, security threats, fraudulent activity, or legal requirements, subject to applicable law. Where practical and appropriate, we may provide notice and an opportunity to resolve the issue.

On termination, your permission to use the affected Services ends, but provisions that by their nature should survive, including ownership, outstanding payments, disclaimers, limitations of liability, and dispute provisions, may continue.

13. Authorlytics Intellectual Property

Authorlytics and its licensors retain rights in the Services, including software, interface designs, trademarks, branding, documentation, and other materials provided by Authorlytics. These Terms grant you a limited, revocable, nonexclusive, nontransferable right to use the Services as permitted by your plan and applicable law.

You may not resell, sublicense, reverse engineer, or redistribute proprietary parts of the Services except where applicable law or an open-source license expressly permits it. Your ownership of Your Content is not limited by this section.

14. Disclaimers and Limits of Liability

TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES THAT THEY WILL BE ERROR-FREE, UNINTERRUPTED, OR SUITABLE FOR EVERY PARTICULAR PURPOSE. NOTHING IN THESE TERMS EXCLUDES WARRANTIES OR RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED.

15. Disputes, Governing Law, and Consumer Rights

These Terms are intended to be governed by the laws of Minnesota or other appropriate jurisdictions, except where mandatory consumer protection laws require otherwise.

Nothing in these Terms limits rights that cannot be waived under applicable consumer, privacy, or other laws.

16. Updates to These Terms

We may revise these Terms as the Services evolve. We will identify the updated version and effective date, and provide notice or obtain renewed agreement when required by law or the nature of the change. If you do not agree to a change, you may stop using the affected Services, subject to applicable cancellation rights.
